We assist our clients in corporate transactions such as debt and equity financings and acquisitions and dispositions, including stock, asset and merger transactions. We represent our clients in the issuance of securities, including venture and growth capital, leveraged refinancings, take-out financing, reorganizations and secondary investments.

We work with clients in the preparation of private placements including the negotiation and preparation of acquisition and disclosure documents, SEC and state filing requirements and due diligence matters associated with such financing.

We assist our clients with corporate structuring and governance issues and the negotiation and preparation of commercial contracts, stock option and employee agreements and other secured and unsecured financing arrangements.
